Welcome to the Erekini.eu platform (hereinafter the "Platform" or the "Service").
These terms of use (hereinafter the "Terms") form a legally binding agreement concluded between the parties named below, which governs the legal relationship arising from use of the Platform.
The service provider is Jānis Palde, a sole trader (saimnieciskās darbības veicējs), whose legal address is "Rozītes - 11", Brandeļi, Kocēnu pagasts, Valmieras novads, LV-4220, Latvia, whose business (taxpayer) registration number with the State Revenue Service is 07119811356 and whose email address for correspondence is info@erekini.eu (hereinafter the "Provider").
A User is any natural or legal person who registers on or uses the Platform (hereinafter the "User"); a "Consumer" within the meaning of these Terms is a User who is a natural person and who uses the Service for a purpose unrelated to that person's trade, business or profession.
By registering on the Platform or starting to use the Service, the User confirms that it has read these Terms in full, understands them and accepts them without any objection; where the User enters data on behalf of a legal person, it also confirms that it is duly authorised to bind that person to these Terms.
1. Nature of the Service and general provisions
1.1 Description of the Service. Erekini.eu is a software-as-a-service (SaaS) solution for managing financial data, preparing invoices and exporting them in PDF and XML (Peppol BIS Billing 3.0) formats.
1.2 Amendments to the Terms. The Provider may amend these Terms where this is objectively necessary because of changes in legislation, in the technical or functional content of the Service, in the third-party services used, or in the circumstances of pricing and taxation; however, the Provider shall notify the User of any amendment that materially affects the User's rights or obligations no later than thirty days before it takes effect, by sending a notice to the email address given by the User or by displaying it prominently on the Platform. If the User does not accept the amendments, it may, before they take effect and at no additional charge, stop using the Service and close its account; as regards a Consumer, material amendments become binding only if, after receiving that notice, the Consumer continues to use the Service and has not exercised the right to terminate the contract within the set period.
1.3 Exclusion of professional advice. The Platform is a technological tool for automating work processes, and the Provider does not provide legal, tax or accounting advice; the User is therefore fully responsible for the compliance of the content of its documents with applicable legislation.
1.4 Artificial intelligence (AI) functionality. The AI tools built into the Platform (for example, OCR data reading) are intended to make processes more efficient and do not replace checking of the data by a qualified specialist.
2. Registration and security
2.1 Accuracy of data. The User undertakes to provide true and up-to-date information about itself or about the legal person it represents.
2.2 Confidentiality of access. The User is responsible for the security and safekeeping of its access credentials, and any action taken using the User's account is deemed binding on the User, except where the User notified the Provider immediately after discovering unauthorised access and the Provider had a reasonable opportunity to prevent that access.
2.3 Restriction of the account. If the Provider finds a breach of these Terms that does not involve a direct threat, the Provider shall, before restricting or terminating the account, invite the User to remedy the breach within a reasonable period set for it; irrespective of the foregoing, the Provider may immediately and without prior warning suspend or restrict access to the account if there is a direct threat to the security of the Platform or of other users, if the account is used for unlawful activity or fraud, or if a competent authority requires such action, informing the User to the extent permitted by applicable legislation. Before irreversibly deleting an account, except in cases of unlawful or malicious conduct, the Provider shall give the User a reasonable period of not less than fourteen days to export the User's data, so that the User can meet its accounting and record-keeping obligations.
3. Subscriptions, payments and custom solutions
3.1 Service plans. The Platform offers several access levels, including a free plan and several paid plans, whose current content, included features and prices are set out on the Platform's pricing page, which forms an integral part of these Terms.
3.2 Development of a custom architecture (VIP service).
3.2.1 When applying for an individual system implementation, the User pays a start-up fee of EUR 149 for a business process audit and strategic consultation.
3.2.2 If the User is a Consumer and has given express prior consent to performance of the service beginning within the withdrawal period, a Consumer who exercises the right of withdrawal before the service has been fully performed shall pay the Provider an amount proportionate to the service actually provided up to the time of the withdrawal notice; once the service has been fully performed, the right of withdrawal can no longer be exercised under the Consumer Rights Protection Law and Article 16(a) of Directive 2011/83/EU. For a User who is not a Consumer, the start-up fee is not refunded once the audit or consultation has begun.
3.2.3 The remaining implementation fee of EUR 5990 applies once the individual technical specification has been agreed.
3.2.4 After implementation, a maintenance fee of EUR 249 per month applies, covering hosting, updates and technical support.
3.3 Payment processing. The User's payments for the Service are processed technically by Stripe, and the Provider does not store the full details of the User's payment cards. This clause applies only to the User's payments to the Provider; where the User accepts card payments in its online shop, this takes place through the User's own Stripe account under clause 3.11.9 of these Terms, and the Provider neither collects nor receives such payments.
3.3.1 Application of taxes. On the date these Terms take effect, the Provider is not a person liable for value added tax; value added tax is therefore not added to the price of the Service, and the price shown on the Platform's pricing page is the final amount payable by the User. If the Provider later becomes liable for value added tax, or if applicable legislation requires that tax to be applied, the applicable tax will be calculated and shown separately at the time the payment is processed, based on the billing details provided by the User, and the Provider is not responsible for consequences arising from an incorrectly stated tax status or tax registration information of the User.
3.4 Refund policy.
3.4.1 Subject to the Consumer's right of withdrawal set out in section 8 of these Terms, fees paid in advance for a monthly or annual subscription are not refunded for the unused period, except where a refund is required by applicable legislation or where the paid plan concerned has not yet been made available to the User.
3.4.2 The Provider takes no commission from card payments made by the User's clients. Card payments, both in invoice links and in the online shop, are made through the User's own Stripe account in the manner described in clause 3.11.9 of these Terms, and the Provider does not collect or hold such payments and charges or withholds no fee from them.
3.5 Sending e-invoices through a delivery network, and sending units. This functionality is not currently provided on the Platform, because the Provider has no active access point (Access Point) or connection to any other e-invoice delivery network operator. Until it is activated, no sending units are allocated or used, and the remaining provisions of this clause apply from the moment the functionality is activated, of which the User will be informed in advance.
3.5.1 What is available regardless of this clause. Creating, checking and downloading a structured e-invoice in the LVS EN 16931 standard and the Peppol BIS Billing 3.0 format is available on the relevant paid plans and does not depend on the sending functionality described in this clause. No sending units are needed to submit a downloaded file, and the User may submit it itself, including to its official electronic address (e-adrese), in the Electronic Procurement System or through another channel agreed with the business partner, as permitted by the Law on Accounting.
3.5.2 Units are included in the plan and are not sold separately. If and when the sending functionality is activated, sending units will be included in the paid plan, and one unit allows one invoice or credit note to be sent. The number of units included in a plan is shown on the Platform. The Provider does not sell packs of sending units and charges no separate fee per sending.
3.5.3 Renewal of units. Included units are allocated automatically at the start of each billing cycle and do not accumulate; unused units are therefore reset in the next cycle.
3.5.4 Use of units. A unit is used at the moment the invoice is accepted for sending in the delivery network concerned, regardless of its delivery status with the final recipient.
3.5.5 Availability of the service and force majeure. If an invoice cannot be submitted to the delivery network for technical reasons, including downtime of the network operator, or because of force majeure, no unit is used. If submission succeeds but delivery to the final recipient fails for reasons beyond the Provider's control, such as an incorrectly stated recipient identifier, the unavailability of the recipient's access point or e-address, or the recipient's refusal, the unit is deemed used, and the User may resubmit the invoice after correcting the issue, using a new unit.
3.5.6 Units are not transferable. Allocated sending units are tied to the User's specific organisation on the Platform and may not be transferred to another organisation, legal person or natural person, nor converted into money, other Service credit or third-party services.
3.5.7 Closing an account or organisation. When the User's account is closed or an organisation is deleted on the Platform, all unused units are deleted. As units are included in the price of the plan and are not sold separately, no separate refund is made for them, and the plan fee is subject to clause 3.4 and section 8 of these Terms.
3.5.8 Involvement of third parties. If the sending functionality is activated, delivery of the e-invoice will be provided technically by the operator of the delivery network concerned, and before activating the functionality the Provider will inform the User of the specific operator, its role in data processing and the relevant terms that are binding on the User.
3.6 Vacation Mode (Atvaļinājuma režīms):
3.6.1 Description of the service. Users on the Business plan may activate "Vacation Mode", a feature in which Erekini and the AI assistant Laima autonomously continue to carry out previously configured automatic actions on the User's behalf, namely sending payment reminders, generating recurring invoices, applying automatic late fees and sending scheduled messages.
3.6.2 Authorisation. By activating Vacation Mode, the User authorises the Provider (a) to send emails on the User's behalf, stating clearly that the message was sent during autonomous mode and that replies will be delayed (an OOO signature); (b) to generate invoices in accordance with previously set recurring invoicing rules; (c) to apply late fees at the daily rate set by the User, in total not more than 10 per cent of the invoice amount, where the User has previously activated the automatic late fee feature. The basis for a late fee is the User's agreement with its client in the contract or on the invoice, and the User is responsible for such a rate having been agreed with the client.
3.6.3 Safety limits. Vacation Mode never (a) replies to disputes, complaints, refund requests or legal threats (such emails are escalated to the User in a daily digest); (b) invents commitments, discounts, deadlines or prices; (c) contacts third parties outside the context of the invoicing flow.
3.6.4 User responsibility. The User is responsible for (a) checking, before activation, the information shown at the preview stage about the actions expected; (b) meeting VAT, annual report and other regulatory deadlines that fall within the vacation period, as the Provider will not file such returns; (c) stopping the mode if it notices unexpected behaviour (the stop button is available at any time in the Platform interface).
3.6.5 Revocability. The User may at any time (a) stop Vacation Mode with one click, after which no further autonomous actions are taken; (b) reverse individual completed actions where they are technically reversible (for example, late fees applied), using the vacation log after returning. Emails already sent cannot technically be recalled, but their content is kept in full in the log for audit purposes.
3.6.6 Plan requirement. The feature is available only during an active Business plan or an active 14-day Business plan trial, and if the prepaid plan is cancelled or loses its status during the vacation, the feature is deactivated automatically and the User receives a notice.
3.6.7 Data retention. Vacation logs (records of messages sent and of autonomous actions) are kept for the retention period of the User's account data set out in the privacy policy.
3.7 Stock and quick sale (the "Stock" add-on, Noliktava):
3.7.1 Description of the service. "Stock" is a paid add-on that provides the User with a product catalogue, barcode scanning with the device camera, stock level records, product labels prepared for printing, sales and stock reports, and a quick sale feature in which a sale is recorded as a receipt. The add-on is subscribed to separately from the base plan as a monthly or annual subscription, its current price is shown on the Platform, and clauses 3.1, 3.3 and 3.4 and section 8 of these Terms apply to it accordingly.
3.7.2 Legal status of the receipt. A receipt prepared in a quick sale is a supporting accounting document within the meaning of the Law on Accounting, and it is not a till receipt issued by an electronic device or equipment for registering taxes and other payments (cash register) registered with the State Revenue Service. The User is responsible for assessing whether such a document is sufficient for its type of business and its way of taking payment, and for the accuracy and currency of the User's details shown on the receipt, including its name, registration number, value added tax registration number and address.
3.7.3 Cashless payments only. Quick sale supports cashless payments only, namely payments by transfer to the User's bank account, including payments initiated by scanning a SEPA payment QR code. Recording cash and card transactions is not supported on the Platform, and if the User accepts cash or card payments in its business, the User is responsible for meeting the statutory requirements for recording such transactions, including the use of electronic devices and equipment for registering taxes and other payments, as the Platform does not provide such functionality.
3.7.4 SEPA payment QR code. At the User's request, the Platform generates a payment QR code conforming to the European Payments Council (EPC) standard, containing the payment details given by the User, namely the beneficiary's name, IBAN account number, payment amount and payment reference. The payment is made directly between the buyer and the User through the payment service providers (banks) of their choice. The Provider is not a payment service provider within the meaning of the Law on Payment Services and Electronic Money, does not hold, accept or transfer the funds of the User or of buyers, receives no information about the execution of the payment and does not check whether the payment has actually been received. Confirming receipt of payment before issuing a receipt is solely the User's action and responsibility, and before confirming, the User must make sure that the funds have been received in its account. Whether a payment QR code can be scanned depends on the features of the buyer's banking app, and the Provider does not guarantee that all banks support it; where a bank does not, the payment details must be entered manually.
3.7.5 Receipt download link. After a sale is completed, the Platform creates a cryptographically signed link and a corresponding QR code for downloading the receipt in PDF format, which the User may give to the buyer. The link is accessible to anyone who obtains it, remains valid without time limit for as long as the User's account and the transaction record concerned exist, and gives access only to that specific receipt document; the User decides whether and to whom to give the link or QR code.
3.7.6 Stock records. The stock levels and reports kept on the Platform reflect the actions recorded by the User; they are an informational aid and do not replace a stocktake or the accounting records required by law, and clause 1.3 of these Terms applies accordingly.
3.7.7 Ending the subscription. When the add-on subscription ends, access to the Stock features ends at the end of the paid period, but the User's data, namely the product catalogue, stock movement history and receipts issued, are not deleted and become available again if the subscription is renewed, while receipts issued, as transaction records, remain available to the User even without an active add-on subscription.
3.8 Gift cards and loyalty programme (features of the "Stock" add-on):
3.8.1 Description of the service. The "Stock" add-on allows the User to create, sell and keep records of the User's own gift cards, namely prepayment certificates with a unique code entitling the bearer to pay for the User's goods and services up to the card balance, and to run a loyalty programme in which the User's clients build up, from their purchases, a balance at a percentage rate set by the User, usable as a discount on future purchases from the User.
3.8.2 The User as issuer. The issuer of a gift card, and the party bearing the obligations arising from it, is solely the User, and a gift card may be used only to pay the User for its goods and services. The Provider provides only a technical tool for creating, recording, blocking and tracking the balances of gift cards; it is not the issuer of gift cards, does not issue electronic money within the meaning of the Law on Payment Services and Electronic Money, and does not hold, accept or transfer funds relating to gift cards, as the buyer pays for a gift card directly to the User in the manner described in clauses 3.7.3 and 3.7.4 of these Terms.
3.8.3 User responsibility. The User is responsible for the terms of its gift cards and loyalty programme and for honouring them, including setting the validity period of a gift card and stating it clearly to the card recipient, complying with consumer protection requirements, dealing with unused balances, and correctly reflecting gift card transactions and discounts granted in its accounts and in its tax calculations, including value added tax. Guidance given on the Platform on how to record gift cards is for information, and clause 1.3 of these Terms applies accordingly.
3.8.4 Bearer instrument and blocking. A gift card's code, its barcode and the digital card link are bearer instruments, meaning that anyone who obtains them can present them for payment; the User and the cardholder are therefore themselves responsible for not disclosing the code and the link to unauthorised persons. The Platform allows the User at any time to block a card and reissue it with a new code, whereupon the previous code, the barcode and all previously issued digital card links immediately cease to be valid while the card balance remains unchanged, and to cancel a card altogether. The Provider is not liable for consequences arising from a third party using the code or link before the User has blocked or cancelled the card.
3.8.5 Digital card link. A digital gift card is available through a cryptographically signed link showing the User's name, the card balance, the code with a barcode or QR code, and the expiry date. The link is accessible to anyone who obtains it until the card is reissued or cancelled, and the principles set out in clause 3.7.5 of these Terms apply to it accordingly.
3.8.6 The balance is not money. A loyalty programme balance is a discount on future purchases granted by the User, not money, electronic money or a means of payment; it cannot be paid out in cash and cannot be transferred to third parties unless the User has provided otherwise in its relationship with its client. The User is responsible for informing its client and obtaining the client's consent to the processing of their data within the programme, as described in the Privacy Policy.
3.8.7 Balance link for the client. The Platform allows the User to create a cryptographically signed link on which the User's client can view their balance, the total amount earned, the number of purchases and the earning rate set by the User. The link does not contain the client's telephone number or purchase history and does not allow any actions. The User gives the link to the client at its own discretion, and the Platform does not send it automatically. The link is accessible to anyone who obtains it, and the principles set out in clause 3.8.5 of these Terms apply to it, including the User's ability to reissue the link at any time, whereupon all previously issued links cease to be valid.
3.8.8 Ending the subscription. Gift card and loyalty programme data are kept and become available again when the subscription is renewed, in the manner set out in clause 3.7.7 of these Terms. Ending the add-on subscription neither ends nor alters the User's obligations to holders of gift cards issued and to loyalty programme members, as those obligations exist between the User and its clients regardless of use of the Platform.
3.9 Purchasing, reports and B2B ordering portal (features of the "Stock" add-on):
3.9.1 Description of the service. The "Stock" add-on also includes purchasing features, namely a supplier catalogue, preparing and sending orders to suppliers and recording their receipt, restocking suggestions (the stock radar) and profit reports, as well as a B2B ordering portal through which clients chosen by the User can submit orders for goods to the User using a private link.
3.9.2 Supplier data and communication. The User enters supplier details and contact information on the Platform itself and is responsible for having a legal basis to use that information. An order is emailed to a supplier only after a direct action by the User, namely pressing the send button; the Platform never sends orders to suppliers automatically. The User alone is responsible for the content of an order and for the obligations to the supplier arising from it.
3.9.3 Informational nature of suggestions and reports. Stock radar calculations, including sales velocity, forecasts and suggested order quantities, and profit reports, including cost price and mark-up calculations and price suggestions, are calculated solely from the data the User has entered and recorded on the Platform, are for information and do not replace the User's accounting records or its own commercial decisions; clause 1.3 of these Terms applies accordingly.
3.9.4 B2B portal link. The portal link is cryptographically signed and accessible to anyone who obtains it, so the User and its client are themselves responsible for not disclosing the link to unauthorised persons. Through the link, the User's catalogue of active products is visible with prices, including the discount the User has granted to that client, but not stock levels or cost prices. The Platform allows the User at any time to suspend or reissue the link, whereupon all previously issued links immediately cease to be valid, and all links stop working automatically if the add-on subscription is no longer active. The Provider is not liable for consequences arising from a third party using the link before the User has suspended or reissued it.
3.9.5 Status of portal orders. An order submitted through the portal is a notice from the User's client to the User and creates no contractual relationship with the Provider. An order does not become an invoice automatically: a draft invoice is created only after the User's approval, and before issuing the invoice the User itself checks the availability of the goods, the prices and the content of the order. The User and its client set the terms of their transaction between themselves, including delivery and payment.
3.9.6 Ending the subscription. Purchasing, report and portal data are kept and become available again when the subscription is renewed, in the manner set out in clause 3.7.7 of these Terms.
3.10 Reservations (feature of the "Stock" add-on):
3.10.1 Description of the service. The "Stock" add-on allows the User to reserve goods for a specific buyer for a period set by the User. Reserved goods become unavailable to the Platform's other sales channels but physically remain with the User, and the stock level is not reduced until the sale is completed.
3.10.2 A reservation is not a contract of sale. A reservation is only a technical record setting goods aside, and of itself creates no contract of sale, no prepayment obligation and no guarantee by the Provider that the goods will be sold or that payment will be received. The User determines the relationship with the buyer, including the reservation period, its extension, its cancellation and the consequences.
3.10.3 Reservation link. The Platform creates a cryptographically signed link on which the buyer sees the goods, quantity, price, reservation period and the payment details given by the User, and can state how they would like to collect the goods. The link is accessible to anyone who obtains it, and the principles set out in clause 3.9.4 of these Terms apply to it, including the User's ability to reissue the link at any time.
3.10.4 Payment and expiry. Payment is made directly between the buyer and the User in the manner described in clause 3.7.4 of these Terms, and the Provider receives no information about the execution of the payment. The User itself marks payment as received. If the reservation period ends without payment being marked, the reservation lapses automatically and the goods return to sale, of which the Platform informs the User but not the buyer.
3.10.5 Buyer data. The User enters the buyer's name and telephone number for the reservation, and the User is the controller of that data, as described in the Privacy Policy.
3.11 Online shop (feature of the "Stock" add-on):
3.11.1 Description of the service. The "Stock" add-on allows the User to publish its product catalogue on a public website at an address of the User's choice within the Platform's domain, where any visitor can, without registering, choose goods and submit an order to the User. The order arrives in the User's account, and the User decides whether to accept and fulfil it.
3.11.2 The User is the seller. The contract of sale for goods offered in the shop is concluded between the User and the buyer, and the Provider is not a party to that contract, nor the seller, an intermediary or the operator of a marketplace. The Provider provides only a technical tool for publishing the User's own content and receiving orders.
3.11.3 Consumer rights and distance contracts. Where the User's buyer is a consumer, the User is responsible for meeting all requirements applying to distance contracts and to consumer protection, including providing pre-contractual information, ensuring the right of withdrawal, and publishing terms on delivery, returns and guarantees. The Platform does not prepare or check such terms on the User's behalf, and clause 1.3 of these Terms applies accordingly.
3.11.4 Responsibility for content. The User is responsible for the content published in the shop, including product names, descriptions, prices and images, and for their compliance with legislation and the rights of third parties, including copyright and trade mark rights. The User confirms that it has the right to publish the images uploaded. The Provider may, without prior warning, make the shop or individual content unavailable if it is unlawful, infringes the rights of third parties or breaches these Terms.
3.11.5 Images are public. Product images uploaded for the shop are stored in a publicly accessible file store and are accessible to anyone who has the address of the image concerned, even if the product is later no longer shown in the shop or the shop is taken offline. The User need not upload images it does not want to be publicly accessible.
3.11.6 Prices and availability. The prices and availability of goods shown in the shop come from the User's product catalogue, and the Platform recalculates all amounts from the User's catalogue data when the order is received. The User is responsible for the accuracy of prices, including value added tax rates.
3.11.7 Payment and cash register. The buyer pays for the order by transfer against an invoice issued by the User or, if the User has activated the feature described in clause 3.11.9, by payment card when placing the order. In either case the payment is made directly between the buyer and the User, or a payment service provider chosen by the User, and clauses 3.7.3 and 3.7.4 of these Terms apply accordingly, including the User's responsibility for using electronic devices and equipment for registering taxes and other payments where its type of business requires this.
3.11.8 Publishing and taking offline. The shop becomes publicly accessible only after an express action by the User, and the User may take it offline at any time, whereupon the address immediately becomes inaccessible. The shop automatically ceases to be publicly accessible if the add-on subscription is no longer active.
3.11.9 Card payments through the User's own payment service provider. The User may activate the option for the buyer to pay for an order by payment card, and this option works only with the access keys of the User's own Stripe account, which the User enters on the Platform itself. The following terms apply to these payments:
3.11.9.1 The Provider is not a payment service provider. Money from the buyer goes directly to the User's Stripe account and then to the User's bank account. The Provider does not collect, receive, hold, manage or transfer the buyer's payment, earns no revenue from it and takes no commission, and the Provider is neither a payment institution, nor an electronic money institution, nor a payment service provider or intermediary in respect of these payments.
3.11.9.2 The User's contract with Stripe. Card payments are accepted on the basis of the contract between the User and Stripe, and the User must comply with Stripe's terms. Stripe's fees and other charges for maintaining the account are borne by the User and are not included in the fee for the Service. The User is responsible for the accuracy and currency of its Stripe account details.
3.11.9.3 Refunds, chargebacks and disputes. Refunds to the buyer, payment disputes (chargebacks) and related disputes are handled by the User in its Stripe account; the Provider is not a party to that relationship and is not responsible for its outcome. The Platform does not and cannot make refunds; if the User has set up a Stripe notification address, the Platform merely reflects a refund made by Stripe in the order record.
3.11.9.4 Storage and revocation of keys. The Stripe access keys entered by the User are stored in encrypted form and are used solely to process payments for the User's shop. The User may at any time delete the keys on the Platform or revoke them in its Stripe account, whereupon the card payment option immediately stops working.
3.11.9.5 Holding goods during payment. When a card payment is started, the goods in the order are made temporarily unavailable to other buyers, so that a single item cannot be sold twice. If the payment is not completed, the hold lapses and the goods return to sale without the User's involvement.
3.11.9.6 Availability and fallback to transfer. The card payment option may be unavailable, including where the User's Stripe keys do not work, the add-on subscription is no longer active or the payment currency is not the euro, in which case the shop offers the buyer payment by transfer. The Provider does not guarantee the uninterrupted availability of card payments, and clause 5.5 of these Terms on third-party services applies to this feature.
3.11.9.7 Consumer rights. Where the buyer is a consumer, refunding money when the right of withdrawal is exercised, and honouring other consumer rights, is solely the User's obligation under clause 3.11.3 of these Terms, even where payment has already been received in the User's Stripe account.
3.12 Recipes and production (features of the "Stock" add-on):
3.12.1 Description of the service. The "Stock" add-on allows the User to specify the raw materials and quantities from which a finished product is made, and to record production runs, in which the Platform writes off the raw materials used, increases the stock of the finished product and calculates the cost price of the finished product.
3.12.2 Calculations are for information. Cost price, waste and profit calculations are based solely on data entered by the User; they are an informational aid for management purposes and do not replace accounting records, cost calculation or a stocktake within the meaning of legislation, and clauses 1.3 and 3.7.6 of these Terms apply accordingly.
3.12.3 Sector requirements. Where specific statutory requirements apply to goods produced by the User, including in the food, cosmetics or chemicals sectors, the User alone is responsible for meeting them, including traceability, labelling and batch records, and the Platform neither ensures nor checks such compliance.
3.13 Delivery and shipments (features of the "Stock" add-on):
3.13.1 Description of the service. The "Stock" add-on allows the buyer, when placing an order, to choose a specific parcel locker or pick-up point from carriers' publicly available lists, and allows the User, through its own contract account with a carrier, to register a shipment, prepare the carrier's shipping label for printing and receive shipment status updates.
3.13.2 The Provider is not a carrier. The Provider is not a postal, courier or logistics service provider, does not sell or resell postal services, does not physically carry, accept or hand over shipments, and earns no revenue and takes no commission from delivery. The Provider only provides software which, on the User's instruction, passes shipment data to the carrier chosen by the User.
3.13.3 The User's contract with the carrier. Shipments are registered on the basis of the contract between the User and the carrier, and the User must comply with the carrier's terms. The carrier's charges for shipments and for maintaining the account are paid by the User directly to the carrier and are not included in the fee for the Service. The User is responsible for the accuracy and currency of its carrier account details, and for the chosen service being covered by the User's contract.
3.13.4 Responsibility for delivery. The carrier is responsible, under its contract with the User, for the actual delivery of a shipment, its timing, delays, damage, loss and return, and for claims relating to them; the Provider is not a party to that relationship and is not responsible for the outcome of delivery. The User submits claims about a shipment directly to the carrier.
3.13.5 Accuracy of recipient data. The User is responsible for the accuracy of the recipient data passed to the carrier, including the name, telephone number, email address and the chosen parcel locker or delivery address, and for having a legal basis to pass on that data. The Provider does not check this data on its merits.
3.13.6 Storage and revocation of carrier credentials. The carrier account credentials entered by the User are stored in encrypted form, are not returned in the Platform interface and are used solely to process shipments on the User's instructions. The User may at any time disconnect them on the Platform or revoke them with the carrier, whereupon shipment registration immediately stops working.
3.13.7 Cash on delivery is not supported. The Platform does not support, and does not pass to the carrier, an instruction to collect payment on receipt of the shipment (cash on delivery). The buyer pays for the order before the shipment is sent, and clause 3.11.7 of these Terms applies accordingly, including the User's responsibility for using electronic devices and equipment for registering taxes and other payments where its type of business requires this.
3.13.8 Availability of the point lists. The lists of parcel lockers and pick-up points are obtained from carriers' publicly available sources, and the Provider does not guarantee their uninterrupted availability, completeness or currency. If a point is closed or moved, the User agrees with the buyer and the carrier on correcting the shipment's destination.
3.14 Multiple stock locations (feature of the "Stock" add-on):
3.14.1 Description of the service. The "Stock" add-on allows the User to create several stock locations, see each product's stock broken down by location, move stock between locations and carry out a stocktake for a single location. Creating locations does not change a product's total stock, and for a User who does not use locations, stock records work as before.
3.14.2 Calculations are for information. The breakdown by location is based solely on data entered by the User and recorded on the Platform, and clauses 1.3 and 3.7.6 of these Terms apply to it, including as regards using stocktake reports for accounting purposes.
3.15 Received invoices.
3.15.1 Description of the service. If another user of the Platform issues an invoice stating the User's registration number, the Platform may place that invoice in the User's account, in the "Received invoices" section, as structured data. Receiving, viewing and downloading the invoice in PDF format is available on all plans, including the free plan, and is not limited in number. Booking a received invoice to expenses is available from the "Solo" plan.
3.15.2 This is not sending through an e-invoice delivery network. Received invoices work only between users of the Platform and are not to be regarded as sending or receiving an e-invoice through Peppol or any other delivery network. Clause 3.5 of these Terms applies to this functionality, and it does not by itself satisfy any statutory requirement for the exchange of e-invoices.
3.15.3 Delivery is not guaranteed. An invoice is placed in the recipient's account automatically and only if the matching conditions set by the Provider are met, including a matching registration number and confirmation by the recipient's email address as recorded by the invoice issuer. The Provider does not guarantee that a particular invoice will be placed in the recipient's account, and this does not affect the validity of the invoice, the obligation to pay it or the issuer's obligation to issue the invoice by other means. Issuing and receiving the invoice within the meaning of legislation remains the parties' responsibility.
3.15.4 User data. To receive invoices in this way, the User must enter its correct registration number in its organisation profile. The Provider does not check that number and is not responsible for consequences arising where the User has entered it incorrectly or not at all.
3.15.5 The content is not prepared by the Provider. The content of a received invoice is determined by its issuer. The Provider does not check or confirm the correctness, validity or legal compliance of a received invoice, and accepting an invoice on the Platform is not acceptance of the invoice or an acknowledgement of debt. The User must check the invoice itself before booking it, and clause 1.3 of these Terms applies to the booked entry.
3.15.6 The received copy does not change. A received invoice is kept in the form in which it was issued. If the issuer later makes corrections, they do not change the copy already received; a correction reaches the recipient as a separate document.
3.15.7 Declining an invoice. Declining a received invoice on the Platform is an accounting action by the User meaning that the invoice will not be booked. It is not a claim, objection or notice of dispute within the meaning of legislation, and it does not suspend the payment period. If the User accepts or declines an invoice, the Provider informs the invoice issuer.
3.15.8 If the recipient is not a user of the Platform. If no user of the Platform corresponds to the registration number stated on the invoice, the Provider keeps only a record that an invoice has been issued to that registration number. The content of the invoice is not kept in that record. The record is deleted within 12 months at the latest. Such invoices are not automatically added to any account created later.
3.16 Questions about invoice payment.
3.16.1 Description of the service. When an invoice's due date has passed and the invoice has not been marked as paid, the Platform may email the invoice issuer or the owner of the organisation to ask whether the client has paid the invoice. The question and the first reminder to the client are available on all plans; further automatic reminders are available on the Business plan.
3.16.2 Nothing happens without the User's confirmation. Opening the link in the email performs no action. The invoice is marked as paid, and a reminder is sent to the client, only after the User has confirmed it on a page of the Platform.
3.16.3 The link. The link in the email is personal and valid for 7 days, and it can be used to answer only about the invoices named in the email and only if the recipient of the link is still an owner or member of the organisation concerned. The User does not forward the email to third parties.
3.16.4 User responsibility. The Provider does not check whether the client has paid the invoice. The User is responsible for the correctness of the payment mark and for whether sending a reminder is justified, and clause 1.3 of these Terms applies to the payment marked.
3.16.5 Opting out. The User may opt out of these emails in the email settings; this also switches off the month-end email described in clause 3.18.
3.17 Invoice forwarding address.
3.17.1 Description of the service. The User may create an email address for its organisation; the Platform adds the attachments (invoices and receipts) of emails forwarded to it to the "Received" section as draft expense entries. Creating the address and receiving documents is available on all plans, reading PDF files and images is available on the Business plan if the User has switched on the assistant "Laima", and booking is available from the "Solo" plan. Bank account statements (in ISO 20022 camt, FiDAViSta or CSV format) forwarded from the email address of the organisation's owner and signed in that address's domain name are imported as bank payments, and for the self-employed they become journal entries (clause 3.20).
3.17.2 What may be forwarded. The User forwards to the address only emails and documents that it has a legal basis to process. The User may change or switch off the address at any time, after which emails to the previous address are not accepted.
3.17.3 Checks are an aid. Flags for an unverified sender, a changed account number, a possible duplicate or amounts that do not match are based on calculations and on the email's signature, and they do not guarantee that a document is genuine or correct. Before paying, the User checks the document and the account number itself, and the Provider is not liable for losses arising from a payment to an account given by a third party.
3.17.4 Limits. The Platform does not accept emails larger than 4 MB, adds no more than 10 documents from a single email, and may limit the number of emails received per hour for one organisation. The data read is a draft that the User checks before booking, and clause 3.15.5 of these Terms applies to it.
3.18 Month end.
3.18.1 Description of the service. On the Business plan, on the first working day of the month, the Platform sends the User a list of tasks left undone from the previous month and shows the same list in the "Overview" section. The list is calculated from the User's data.
3.18.2 Informational nature. The list and the VAT amount shown in it are calculations from the data entered by the User, not tax advice. The User files the VAT return and other reports itself, and an empty list does not mean that the User's accounts or tax obligations are complete. Clause 1.3 of these Terms applies to the list.
3.19 Document requests (the "Office" plan, Birojs).
3.19.1 Description of the service. A User on the "Office" plan may send a client company an email asking it to send documents for the payments of a chosen month. The Platform prepares the list of payments by comparing the outgoing payments in the company's bank statement with its expenses, and sends the email in the office's name to the email address given by the User.
3.19.2 The list is a suggestion. The list of payments is a calculation, and it may include payments for which no document is needed or for which one has already been received by other means. Before sending, the User checks the list and selects from it, and the User is responsible for the content of the email and its recipient.
3.19.3 Client data. By sending the email, the User confirms that it has a legal basis to send the client company's data contained in it to the stated recipient. The Provider sends the email on the User's instructions, as a processor, in the manner set out in sections 2 and 5.8 of the Privacy Policy.
3.19.4 Limits. No more than one request per day may be sent to any one client company.
3.20 Income and expense journal (for the self-employed).
3.20.1 Description of the service. For an organisation whose type is a natural person (self-employed), the Platform builds the business income and expense journal within the meaning of Cabinet Regulation No. 322 of 31 May 2022 from the bank account statements the User uploads or forwards to the invoice forwarding address, links the User's expense documents to the payments, and lets the User print and download the journal and import it from another tool. The journal, importing bank statements in CSV and XML format, and the journal print are available on all plans, including the free plan.
3.20.2 Automatic classification is a suggestion. The Platform classifies bank payments by rules based on the User's data, including paid invoices, payments to the unified tax account of the State Revenue Service and the types the User chose earlier for the same counterparty. The classification and the linking of documents are calculations, which the User checks and corrects where needed. The User is responsible for the completeness and correctness of the journal, including whether the statements of all accounts have been imported and whether every payment has a supporting document, and clause 1.3 of these Terms applies to the journal.
3.20.3 Importing from another tool. When a journal is imported from another tool, the Platform records the rows of the file it can read and skips those already in the journal. The User checks the preview before importing and the imported entries afterwards. The Platform does not keep the imported file; only its name, checksum and the number of rows imported are kept, so that the same file is not imported twice.
3.20.4 Closing a month. The User may close a month; in a closed month the Platform does not change entries, even if a statement for the same period is imported later. Closing is the User's action in the Platform and does not replace the document retention obligations laid down by law.
3.20.5 Questions about unclassified payments. If the journal contains payments whose type the Platform cannot determine, it may once a month send the organisation's owner an email asking about them. The link in the email is personal and valid for 14 days; an answer records the chosen type and remembers it for the same counterparty, and the User may delete remembered rules in the journal. The User may opt out of these emails in the email settings.
3.21 Tax figures for the self-employed.
3.21.1 Description of the service. From the "Solo" plan, the Platform calculates from the User's journal a tax reserve, the figures of the quarterly report on mandatory state social insurance contributions, the figures of appendix D3 to the annual income tax return and the figures of the micro-enterprise tax return, according to the tax regime stated by the User.
3.21.2 The Platform files nothing. The User checks these figures and enters them itself in the Electronic Declaration System (EDS) of the State Revenue Service. The Platform does not submit reports or returns to the State Revenue Service, and marking a report as filed in the Platform is only the User's own note, which closes the quarter concerned.
3.21.3 Limits of the calculation. The calculations are based on the journal entries and on the rates laid down by law at the time of calculation. They do not take into account circumstances the Platform does not know, such as the User's other income, losses of previous years, reliefs or pensioner status, unless the Platform warns about this expressly. The figures are informational, they are not tax advice, and clause 1.3 of these Terms applies to them.
3.22 Checking the VID tax account with the User's EDS API key.
3.22.1 Description of the service. From the "Solo" plan, the User may enter its State Revenue Service EDS API key in the Platform so that the Platform, on the User's instruction, reads the balance and payments of its tax account from EDS and compares them with the journal.
3.22.2 The key is not kept. The key is used only for the check concerned, and the Platform does not keep it, not even in system logs. The User creates the key in EDS itself, chooses its scope and validity and may revoke it in EDS at any time; the User is responsible for the use and handing over of the key.
3.22.3 VID data. The data read is data of the State Revenue Service, which the Platform shows as received. Where it differs from what EDS shows, EDS prevails. Availability depends on EDS, and with the key the Platform performs no action in EDS other than reading.
3.23 Link for the accountant.
3.23.1 Description of the service. The owner of an organisation may create a link with which any person, without signing in to the Platform, can view the organisation's income and expense journal, download it in PDF or CSV format and open the files of the expense documents linked to the journal. Nothing can be changed with the link. The feature is available on all plans.
3.23.2 The User is responsible for passing on the link. The link is a means of access: anyone who has it sees the journal and the documents. The User passes the link only to a person to whom it may disclose this data, such as its accountant, and is responsible for the consequences if the link reaches other persons.
3.23.3 Validity and revocation. The link is valid for 12 months. The User may revoke it or replace it with a new one at any time, after which the previous link stops working immediately. The link also stops working if the organisation is no longer a natural person (self-employed).
3.24 Invoice designer.
3.24.1 Description of the service. In the invoice designer the User can create their own invoice look: place shapes, lines, text and images they upload themselves on an A4 page, and arrange the parts of the invoice on it, namely the supplier and recipient details, the invoice title, number and dates, the invoice lines, the totals and VAT, the payment information and the notes. The User can choose a saved design for all of the organisation's invoices or for a single invoice.
3.24.2 User content. Designs and the images and text used in them are User data within the meaning of clause 4.2 of these Terms. The User confirms that they have the right to use every image they upload and every text they place in a design, that these are not unlawful and do not infringe the copyright, trade mark or other rights of third parties, and clause 4.4 of these Terms applies to them. The Provider processes and stores uploaded images in the same way as the company logo under clause 4.5, including in publicly accessible file storage, so that they can be shown in invoice PDF files, emails and invoice links. The Provider may refuse or make unavailable a design or image that is unlawful, infringes the rights of third parties or breaches these Terms.
3.24.3 Required parts of the invoice and legibility. The parts an invoice must carry can be moved, resized and recoloured in a design, but they cannot be removed. So that the invoice meets the requirements of the law and is legible, when the Platform prepares an invoice it may put a plain backing under a part of the invoice, show its text in a dark colour, move parts of the invoice to the next page and leave out the part of a design text that does not fit in the area set for it. If a design does not pass the Platform's checks, the invoice is prepared with the standard template the User has chosen. The User is responsible for the content of the text and images placed in a design, including that it does not mislead the recipient of the invoice about the invoice details or amounts.
3.24.4 An issued invoice keeps its look. An invoice keeps the design it was issued with. Later changes to the design, deleting the design or a change of the User's plan do not change the look of an invoice already issued.
3.24.5 Keeping images, and limits. The Provider keeps the images used in designs for as long as any issued invoice may show them, also after the design has been changed or deleted, and deletes them when the User's account is deleted. One organisation can upload no more than 100 images with a total size of up to 100 MB, and one design can use no more than 10 different images.
3.24.6 Charges. A design can be created, saved and previewed on any plan, including the free plan. The Platform prepares invoices in the User's design on the "Plus" plan and the higher plans listed on the pricing page; there is no separate charge for the designer, and the payment, cancellation and refund terms of the plan that includes it apply (3.3 and 3.4). If the plan is cancelled or changed to a plan that does not include this, the User's designs are kept, but draft invoices and new invoices are prepared with the standard template, while invoices already issued keep their look. Using the designer is not linked to sending units (clause 3.5) or Laima credits, and these cannot be used to pay for the designer.
3.24.7 Preview. On plans that do not prepare invoices in the User's design, the preview of a design is prepared with sample data and the watermark "PARAUGS" (sample). A preview is not an invoice and must not be used as one.
4. Intellectual property and data
4.1 Ownership. All content of the Platform, its software code, design and brand are the intellectual property of the Provider or its licensors, and the User is granted a non-exclusive, non-transferable licence, limited to the period of use of the Service, to use it solely for the purposes for which the Service is intended.
4.2 User data. All data entered by the User, including the content of invoices and client details, remain the User's property, and the User grants the Provider a non-exclusive licence to store, process, display and transmit that data to the extent necessary to provide the Service, to provide technical support and to meet the Provider's legal obligations, without using that data for any other purpose.
4.3 Data security and archiving. The Provider makes regular system backups, but the User is responsible for saving and archiving its documents in PDF and XML format outside the Platform, in compliance with the accounting and record-keeping requirements binding on the User.
4.4 User warranties and liability. The User warrants that it has a legal basis for the data and documents it enters on the Platform and sends through the Platform, and that their content is not unlawful and does not infringe the rights of third parties, and the User shall indemnify the Provider against any reasonable losses, costs and third-party claims incurred by the Provider because the content of data provided by the User, or its sending, is unlawful or non-compliant, except to the extent that such claims arise from the Provider's own conduct; this provision does not limit the Consumer's mandatory rights to the extent that they cannot be derogated from by contract.
4.5 Company logo. The User may upload its company logo, which is shown on invoices prepared by the User and in other documents prepared within the Service. The User confirms that it has the right to use the image and that it does not infringe the copyright or trade mark rights of third parties, and clause 4.4 of these Terms applies to such an image. So that the logo can be shown in invoice PDF files, in emails and in public invoice links without separate authentication, the uploaded image is stored in a publicly accessible file store and is accessible to anyone who has the address of the image concerned. The Provider processes the uploaded image technically so that it can be used in documents, including converting it to a uniform format and reducing its size, and may prepare versions of the image with a single-colour background removed and a light version for use on a dark background; this processing is carried out solely for display purposes and does not change the User's rights in the image. The Provider may refuse or make unavailable an image that is unlawful, infringes the rights of third parties or breaches these Terms.
5. Limitation of liability
5.1 System availability. The Provider aims to ensure high availability of the Service, of approximately 99.9 per cent, but does not guarantee its uninterrupted and entirely error-free operation; for a User who is not a Consumer, the Service is provided in the state and to the extent in which it is available at the relevant time. For a Consumer, the Provider ensures the conformity of the Service with the contract in accordance with the Consumer Rights Protection Law and Directive (EU) 2019/770 of the European Parliament and of the Council on certain aspects concerning contracts for the supply of digital content and digital services, and nothing in these Terms limits the Consumer's right to use the remedies provided by legislation in the event of non-conformity of the Service.
5.2 Accuracy of data (AI). Data read by the AI assistant and OCR tools is indicative; the User must therefore check all information generated in this way before using it officially, and the Provider is not liable for errors resulting from the use of unchecked AI data.
5.3 Extent of liability. To the extent permitted by applicable legislation, the Provider's total financial liability arising from or relating to the Service shall not exceed the amount the User has paid the Provider for the Service in the twelve months before the claim concerned arose. This limitation does not apply to liability that may not be limited or excluded under applicable legislation, including liability for intentional conduct or gross negligence or for harm to a person's life or health, nor to the Consumer's mandatory rights that cannot be derogated from by contract.
5.4 Indirect losses. To the extent permitted by applicable legislation, the Provider is not liable for indirect or consequential losses, including loss of profit, revenue or turnover, loss or corruption of data, and damage to reputation (goodwill), arising in connection with the use of, or inability to use, the Service or its features.
5.5 Third-party services. The operation of certain features of the Service (including payment processing, AI document processing and, if activated, e-invoice delivery) depends on third-party service providers (including Stripe and Google), and the Provider is not liable for those third parties' downtime, errors, delays, rejection of invoices or failure of delivery in the delivery network, to the extent that this is not within the Provider's direct control; as regards sending units, the Provider's liability in such cases is limited to what is set out in clause 3.5.5.
6. Force majeure
The parties are not liable for failure to perform their obligations where it is caused by unforeseeable circumstances beyond their control (force majeure), including cyber attacks or nationwide communications outages.
7. Data protection (GDPR)
Personal data is processed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council (the General Data Protection Regulation) and the Personal Data Processing Law. For the data the User enters about its clients and other third parties, the User is the controller and the Provider acts as processor, and the terms of such processing, including the provisions required by Article 28 of the Regulation on the subject matter, duration and nature of the processing, sub-processors, security and deletion of data, are governed by the Data Processing Agreement, which is available at erekini.eu/en/dpa and which, on the User's acceptance of these Terms, becomes an integral part of them. Detailed information on how personal data is processed is available in our Privacy Policy.
8. The Consumer's right of withdrawal
8.1 If the User is a Consumer, they have the right, within fourteen days from the day on which the distance contract was concluded, to exercise the right of withdrawal and withdraw from the contract unilaterally without giving any reason, except in the cases provided for in these Terms and in legislation in which the right of withdrawal does not apply.
8.2 To exercise the right of withdrawal, the Consumer informs the Provider of their decision to withdraw from the contract by sending an unequivocal statement to info@erekini.eu; for this purpose the Consumer may also use the model withdrawal form contained in the Cabinet of Ministers regulations on distance contracts, which the Provider will send electronically at the Consumer's request.
8.3 The right of withdrawal does not apply to contracts for the supply of digital content or the provision of a digital service where performance has begun with the Consumer's prior express consent and the Consumer's acknowledgement that they thereby lose the right of withdrawal, as set out for the custom architecture service in clause 3.2.2 of these Terms.
8.4 If the Consumer lawfully exercises the right of withdrawal, the Provider shall, without undue delay and no later than fourteen days from the date it receives the withdrawal notice, refund the payments made by the Consumer, withholding only an amount proportionate to the service actually provided up to the time of withdrawal where performance of the service began at the Consumer's request during the withdrawal period.
9. Governing law and dispute resolution
9.1 These Terms and the legal relationship arising from them are governed by the laws of the Republic of Latvia.
9.2 Disputes are first resolved through negotiation; if no agreement can be reached, a dispute in which the User is not a Consumer is resolved by the court of the Republic of Latvia competent for the place of the Provider's legal address, while a dispute in which the User is a Consumer is resolved in accordance with applicable legislation, such that nothing in these Terms deprives the Consumer of the protection afforded by the mandatory provisions of the law of the country of their habitual residence, nor of the Consumer's right to bring proceedings in the courts of that country.
9.3 To resolve a dispute, the Consumer may also apply to the Consumer Rights Protection Centre or to the Consumer Dispute Resolution Committee, using out-of-court dispute resolution under the Law on Out-of-Court Consumer Dispute Resolution Bodies; information about this is available at www.ptac.gov.lv.
10. Minors
The Service is intended only for persons acting in the course of a business or profession and for adult natural persons, namely persons who have reached the age of 18. By registering on the Platform, the User confirms that they have reached the age of 18. The Provider does not knowingly collect data from minors and does not intentionally offer the Service to them; if the Provider becomes aware that an account has been created in the name of a minor, the Provider may close that account immediately and delete the data associated with it.
